Terms of Service

Netray provides the following services:

2.1 AI Agent Platform

An artificial intelligence platform featuring specialized AI agents designed to accelerate enterprise resource planning (ERP) implementations, with a focus on Infor products including LN, SyteLine (CSI), CloudSuite, M3, and ServiceMax. AI agents assist with test script generation, documentation, data validation, and other implementation tasks.

2.2 Consulting Services

Professional consulting services for Infor ERP implementation, customization, integration, training, and ongoing support. Consulting engagements are governed by separate Statements of Work (SOW) agreed upon between the parties.

2.3 Website and Resources

Informational content, interactive demos, case studies, and educational materials available on our website for public access.

We may offer free access to certain features, demos, or limited-use tools on our platform ("Free Tier"). The Free Tier is subject to the following conditions:

• Free Tier access is provided on an "as-is" basis without any warranties or guarantees.
• We reserve the right to modify, suspend, or discontinue Free Tier offerings at any time without prior notice.
• Free Tier usage limits (such as number of agent interactions, documents generated, or data processed) may apply and are subject to change.
• Free Tier data and outputs should not be relied upon for production or business-critical decisions without independent verification.
• We may require registration or account creation for Free Tier access.

4.1 Pricing and Payment

• Paid services are provided at prices published on our website or as agreed in a separate Statement of Work (SOW).
• All prices are in US Dollars (USD) or Indian Rupees (INR) as specified, exclusive of applicable taxes.
• GST or other applicable taxes will be charged as required by law.
• Payment terms are Net 30 unless otherwise specified in the SOW.

4.2 Subscription Services

• Platform subscriptions renew automatically at the end of each billing cycle unless cancelled.
• You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.
• Refunds for partial billing periods are not provided unless required by law.

4.3 Consulting Engagements

• Consulting services are governed by individual Statements of Work executed between the parties.
• SOWs will specify scope, deliverables, timelines, payment terms, and acceptance criteria.
• In the event of a conflict between these Terms and a SOW, the SOW shall prevail for that specific engagement.

By using our services, you agree to:

• Provide accurate and complete information when required
• Maintain the confidentiality of your account credentials
• Use our services in compliance with all applicable laws and regulations
• Not attempt to reverse-engineer, decompile, or disassemble any part of our platform
• Not use our services for any unlawful, harmful, or unauthorized purpose
• Not transmit any viruses, malware, or other harmful code through our platform
• Not use automated tools to scrape, crawl, or extract data from our website without written permission

6.1 Our Property

The Netray name, logo, website, platform, AI agents, algorithms, documentation, and all related intellectual property are owned by Thaare Software Solutions Private Limited. All rights not expressly granted herein are reserved.

6.2 Your Content

You retain ownership of all data and content you upload or provide to our platform. By using our services, you grant us a limited, non-exclusive license to process your data solely for the purpose of providing the requested services.

6.3 AI-Generated Outputs

Outputs generated by our AI agents (such as test scripts, documentation, or data validation reports) are provided as work products for your use. You may use, modify, and distribute these outputs within your organization. However, AI-generated outputs are provided without warranty of fitness for a particular purpose and should be reviewed by qualified personnel before use.

6.4 Third-Party Trademarks

Infor, LN, SyteLine, CloudSuite, M3, ServiceMax, ION, and related names are trademarks of Infor Inc. or its affiliates. Netray is not affiliated with, endorsed by, or sponsored by Infor Inc. unless expressly stated.

Our services are provided on an "AS IS" and "AS AVAILABLE" basis. We expressly disclaim all warranties, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that our services will be uninterrupted, secure, or error-free, that defects will be corrected, or that our platform is free of viruses or other harmful components.

• We may suspend or terminate your access to our services at any time, with or without cause, and with or without notice.
• You may terminate your account at any time by contacting us at team@netray.co.
• Upon termination, your right to use our services will immediately cease. Any provisions of these Terms that by their nature should survive termination shall survive (including intellectual property, limitation of liability, and indemnification).
